Acceptance and Scope of Agreement

This Agreement is entered into by and between you (“User”) and the developer of the UniRemote application (“Service Provider”). It applies to your download, installation, or use of the UniRemote application (hereinafter referred to as “the App”) and related services.
Please read this Agreement carefully before using the App. By downloading, installing, or using the App, you are deemed to have read, understood, and agreed to all the terms herein and to be bound by them. If you do not agree to any of the terms, please stop downloading, installing, or using the App immediately.

Service Content

The App is designed to connect mobile devices with supported external devices and provide remote control and related functions. The specific content, features, usage instructions, and details of any subscription or paid services are subject to the descriptions provided within the App’s feature pages and subscription interface.

User Rights and Obligations

Users must comply with all applicable laws, regulations, and the terms of this Agreement, and shall not use the App for any illegal or improper purposes.
Users shall follow all in-App instructions and maintain the security of their usage environment (including but not limited to network and device security).
Users shall not reverse-engineer, decompile, modify, hack, or otherwise use the App in unauthorized ways, nor interfere with or disrupt its normal operation.
If a User’s violation of this Agreement or improper operation causes losses to the Service Provider or any third party, the User shall bear full responsibility and compensate the Service Provider for all resulting losses (including reasonable attorney’s fees, investigation, and enforcement costs).

Subscriptions and Payments

The App may offer premium or value-added services on a subscription or paid basis. The details, prices, billing cycles, trial policies, and auto-renewal rules are as displayed within the App’s subscription interface.

Subscriptions are typically set to renew automatically. You can manage or cancel your subscriptions through the App Store or your account settings. Refunds, cancellations, and disputes shall follow Apple’s relevant rules and the instructions provided within the App or subscription page.

In case of disputes over subscriptions or payments, the descriptions within the App and relevant App Store policies shall prevail.

Security and Compatibility Notice: Users are advised that this application relies on the local area network (LAN) for remote control functionality. Home appliances lacking WiFi connectivity cannot access or utilize this application. The application's compatibility is limited by factors such as smartphone model, system version, hardware components, network environment, external appliance brand and model, device firmware version, and the appliance's proprietary communication protocol, preventing full compatibility with all brands and models. Devices—including but not limited to niche brands, discontinued models, custom versions, or those without a publicly available universal remote control protocol—may experience issues such as failure to search and pair, connection failures, or missing certain remote control functions.

This application offers a subscription trial service. Users are advised to verify in advance whether their device supports and is compatible with the application before purchasing a paid membership or premium services. In cases where functionality cannot be used properly due to objective factors such as device compatibility, network compatibility, or inherent device limitations, the service provider will not accept any refund or compensation requests.

Disclaimer and Limitation of Liability

Service Provided “As Is”: To the maximum extent permitted by law, the Service Provider disclaims all express or implied warranties, including but not limited to guarantees of continuity, timeliness, reliability, error-free performance, or fitness for a particular purpose.
Force Majeure and Third-Party Causes: The Service Provider shall not be liable for service interruptions, functional restrictions, or data loss caused by network conditions, device compatibility, changes or failures in third-party cloud or service providers, or events of force majeure (including but not limited to natural disasters, wars, strikes, government actions, or major network failures).
Exclusion of Indirect Damages: Unless otherwise required by applicable law, the Service Provider shall not be liable for any indirect, special, incidental, punitive, or consequential damages (including but not limited to loss of profits, goodwill, data, or business interruption) arising from the use or inability to use the App.
Liability Cap: To the extent permitted by law, the Service Provider’s total liability for direct economic losses arising from this Agreement or the App shall not exceed the total fees paid by the User to the Service Provider within the twelve (12) months preceding the claim. If no fees have been paid, the maximum liability shall be fifty (50) U.S. dollars (or equivalent). The foregoing does not apply to damages caused by the Service Provider’s willful misconduct or gross negligence, or where liability cannot be excluded by law.
You are fully aware that this application does not have universal compatibility with all devices. Differences in device compatibility may result in some functions not working properly or varying user experiences. Users must assess their device compatibility and assume the corresponding risks.

Indemnification

If any third party makes a claim, lawsuit, or demand (including but not limited to claims for infringement, breach of contract, or violation of laws) against the Service Provider due to the User’s conduct while using the App, the User shall fully indemnify and hold the Service Provider harmless from all resulting losses (including reasonable attorney, notarization, appraisal, and investigation fees). The Service Provider reserves the right to take appropriate technical or legal action if the User refuses to cooperate or engages in clear violations or illegal acts.

Age Restrictions and Parental Responsibility

This App is intended for users aged 13 and above (or the minimum legal age in your jurisdiction) who have full civil capacity. Users below this age must obtain prior consent from their parents or guardians and use the App under supervision. For teenage users, we recommend enabling the App’s “Teen Mode” to restrict improper operations. Users who do not meet the above conditions must not use the App.

Intellectual Property

All contents of the App, including but not limited to software, interfaces, icons, text, images, videos, audio, designs, trademarks, and programs, are owned by the Service Provider or its licensors. Without express written permission, Users may not reproduce, distribute, adapt, translate, mirror, display, or otherwise exploit any part of the App for commercial or infringing purposes.

Amendments and Termination

The Service Provider reserves the right to modify this Agreement at any time due to operational or legal changes. The revised Agreement will be announced in the App or through other appropriate channels. Continued use of the App after such announcements constitutes acceptance of the revised Agreement.
If a User violates this Agreement or engages in abusive behavior, the Service Provider may suspend or terminate services and pursue legal remedies.

Force Majeure

In the event of force majeure (including but not limited to earthquakes, floods, typhoons, fires, epidemics, wars, government actions, labor disputes, or network outages) that prevents or delays performance, the Service Provider shall be exempt from liability during the affected period but shall make reasonable efforts to restore services as soon as possible.

Data and Privacy

For details regarding how the App collects, uses, stores, and protects personal data, please refer to the App’s Privacy Policy. Users may grant or deny permissions (e.g., network access, Bluetooth, location) as prompted by the system. The Service Provider shall not be liable for functional limitations resulting from the User’s refusal to grant such permissions.

Miscellaneous

This Agreement constitutes the entire agreement between the parties regarding the App and supersedes any prior oral or written understandings.
If any provision of this Agreement is deemed invalid or unenforceable by a competent court, such provision shall not affect the validity of the remaining terms. The parties shall replace the invalid portion with a lawful and effective clause reflecting the original intent.
In case of ambiguity, this Agreement shall be interpreted in a manner consistent with protecting users’ fundamental rights.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes arising from or in connection with this Agreement shall first be settled through friendly negotiation. If negotiation fails, either party may bring the dispute before a court of competent jurisdiction at the defendant’s location.
